Terms of Use for Employers

 “Finding Jobs” terms of services (hereinafter referred to “agreement”) is an agreement between a client (“client”) and Tokyo Consulting Firm Private Limited (“company”) that describes your rights to use “Finding Jobs” website ( “system”) and its job opening postings services (“service”) identified in Article 1. You should review the entire agreement because all of the terms are important and together create a legal agreement, once accepted by you, that applies to you.

 

Contents of the Service


The service described is a job openings posting web service for job seekers which offers job opening posting free of charge, and a fee contingent upon successfully finding a new employee after using our services.

 

Application for Use

A client must herein apply   at the “Registration”  page in the system

In After submitting,“Registration Confirmation” will be sent by email.

 

Management of login ID and Password

  1. Once the company receives “Finding Jobs Registration Page”, we will provide a login ID & password to the client immediately. The company reserves the right to refuse the application from a client.
  2. The client is responsible for the management of the login ID and the password provided by the company. The company is not responsible for any damages if a client suffers damages due to loss or misuse of the login ID & password through his/her fault.    
  3. The client shall not give / transfer / sell / change / pledge his/her login ID & password to a third party without the company’s prior consent.

In case his/her login ID & password are stolen, or forgets his/her login ID & password or when a third party uses his/her login ID & password against his/her will, the client shall notify the company immediately and follow the company’s instruction.

Formation of individual contracts of job opening posting


A client can login the system with the login ID & password provided by the company to access the Dashboard panel in the system to create and publish a job opening posting.  As the job posting is being displayed in the system, the company and client agree to the job opening posting going into effect.  In case a client hires a job applicant through our system as a result of the job posting, the client will be legally obliged to pay the service fee to the company.

 

Incurring service charge

  1. When a client hires a job applicant using our services, the client shall pay the service fee set at the time the job applicant applied to the job opening.

In case the success fee varies depending on annual income per job applicant, the fee is subject to the conditions below (1)-(2)

 

(1)Definitions of theoretical annual income

(a)Monthly salary with bonus

Theoretical annual income = (a fixed monthly salary x 12 months + bonus standard amount x number of months rewarded as bonus previous year.

In case there have been no work performance in the previous year, it is considered as this years’ work performance. 

(b)Monthly salary without bonus

Theoretical annual income = fixed monthly salary x 14 months.

(c)Annual Salary

Theoretical annual income = annual salary.

    Monthly salary with/without bonus shall include all benefits & incentives except commuting allowances and commuting expenses.

    Theoretical annual income shall not include commuting allowances and commuting expenses.

    The fee shall not include tax.

(2)How to determine a success fee

a) Success fee for a full time employee

If a company hires people through Finding Jobs for a full time employee, the success fee is calculated as 10% success fee x theoretical annual income.  However, if it is the first time for a company to employ a job seeker through Finding Jobs, the success fee is 5%.   

b) Success fee for part time employee and internship

Hourly wage x 160 hours / 3 x 2

   If salaries are paid monthly, hourly wages is calculated as monthly salary / working hours.  Then it applies to the above formula

 

 In order to determine the success fee for a successful job applicant, the company shall ask the client to fulfill the employment report on the system to confirm if the client in fact employs the job applicant and also the accurate theoretical annual income amount of the said applicant. The amount of the fee contingent will be computed as below.  A theoretical annual income of the successful job applicant times 10%. For the first time client, the percentage will be 5% therefore, a theoretical annual income of the successful job applicant time 5%.  For confirmation purpose, the theoretical annual income reported by the client shall be disclosed to the job applicant by the company.

02.  Hiring shall be defined as a successful job applicant starting work for the first time or attending the work place for training sessions, and shall be independent from type of work or type of employment.     I

03. Successful job applicants (hereinafter referred to “successful job applicants”) resign at their own will or are terminated by their own faults within 30 days from the day of hired, the fee contingent will be reduced to 50%. However, if clients discharge such applicants for their own reasons, this provision will not be applied. Either way, we will ask clients to submit a proof of discharge/termination/resign for the said applicants.

04. All job seekers who have applied to job openings using our system shall be regarded as finding jobs applicants who have applied for job postings from our clients using our system.  If a client knows a candidate and plans to hire him/her, the client should instruct the candidate not to apply through our system in order not to incur our service fee.

 

The company shall have a one month or longer notice on the management page on our system or email to modify the minimum service fee for successful employment per candidate using our system or when changing part of the conditions.   .  

 

Reporting duty of unofficial job offer/employment/rejection for a job applicant by the company

  1. Clients shall report the status of “job offer”/”employment”/”rejection” for a job application to the company when requested or shall report “unofficial job offer”/”employment”/”rejection” through the management screen within the specified period without delay when the approval period (“approval period”) for the reporting is set on the said applicant’s management page and it pasts the specified period.
  2. Clients shall report in advance if an employment outcome will not be determined within the specified approval period.
  3. Although a client is obligated for the reporting duty specified in the provision of the precedent paragraph but fails to report the said provision of “unofficial job offer”/”employment”/”rejection” within 90 days, the company shall regard the said job applicant as “employed” by the client. 

 

Treatments for those who are rejected.

  1. Although client does not hire a Finding jobs applicant but they reconsider and eventually hire the Finding job applicant within one year from the day of job application. the said job applicant is regarded as successful Finding job applicant so that our service fee will incur.
  2. Upon our request, clients shall submit documents regarding hiring or not hiring specified in the preceding provision.
    We shall reserve a right to walk in clients’ work place to investigate for the documents of employment with prior notice. 

Payment method

A service fee payment cycle will be closed by the end of each month, and clients shall deposit our calculated service fees into our designated bank account by the end of the following month. The banking transaction service fee will be at client’s expense. Or you may be able to use our designated payment and settlement systems.

Prohibited activities

  1. It is a client’s solo responsibility for posting a job opening. Clients are prohibited from posting job openings as follows.

(1). A job posting that does not comply with applicable local, national, and international laws and regulations, or public orders.

(2) A job posting that promotes or assists any crime with high probably.

(3) A job posting that promotes or assists in breaching of fundamental human rights, facilitating discrimination of employment to breach equal opportunities for employment regardless of race or color or sex or national origin or religion)

   (4) A job posting that contains working conditions that would breach any applicable local, national, and international labor laws and regulations

(5).A job posting that demands and/or attempts unreasonable financial burden on job applicants as follows.

  a). Sell, promote or advertise products or services.

  b). Upfront payment for seminars or registrations.

  c). Upfront payment for investments.

  d). Educational classes requires monetary payments.

 (6) Displays or links to pornographic, indecent or sexually explicit material of any kind

 (7) Misleading, false or inaccurate information

 (8) Infringe any intellectual property rights and/or copy rights of others or any other third party

(9) Violating privacy or property rights of others or any other third party

(10) Causing loss profit to others or any other third party

(11) Injuring the reputations of others or any other third party.

(12) Violations of system or network security and/or defame the company’s reputation.

(13) Display or imply client’contact information such as personal phone number or email address so that job applicants contact clients directly without using the system

(14) Any matters the company regards as inappropriate on the reasonable ground.

02. We reserves the right to remove any job posting or content which in the reasonable exercise of Finding jobs’ discretion, does not comply with the preceding provision, or if any content is posted that Finding jobs believes is not appropriate in any manner.  In such cases we are not responsible for any monetary/financial damage caused to clients. 

03. Clients will be responsible for all the costs incurred due to the fact that the  client’s breach of Article 9.01 and that a third party seeks remedies from us.

Clients will be responsible to solve the matter and all the expenses we have incurred including but not limited to lawyer’s consulting fees.   

 

Disclaimer of Warranty

  1. To the fullest extent possible by law, finding jobs does not

warrant that any finding jobs services will operate error-free or that its servers are free of computer viruses or other harmful mechanisms.  If your use of the finding jobs content results in the need for servicing or replacing equipment or data or any other costs, finding jobs is not responsible for those costs. The finding jobs sites and its content are provided on an "as is" basis without any warranties of any kind. Finding jobs, to the fullest extent permitted by law, disclaims all warranties, whether express or implied, including the warranty of merchantability, fitness for particular purpose and non-infringement. Finding jobs makes no warranties about the accuracy, reliability, completeness, or timeliness of the monster content, services, software, text, graphics, and links.

  1. Disclaimer of Consequential Damages.

To the fullest extent possible by Law, in no event shall finding jobs, its suppliers, or any third parties mentioned on finding jobs site be liable for any damages whatsoever (including, without limitation, incidental and consequential damages, lost profits, or damages resulting from lost data, lost employment opportunity or business interruption) resulting from the use or inability to use finding jobs site and its content, whether based on warranty, contract, tort, or any other legal theory, and whether or not finding jobs is advised of the possibility of such damages.

03. The company is not liable for any troubles caused by clients and job applicants to their graduated Universities and any other third parties with acts beyond ideas commonly accepted in the world such as job applicants registering false information about educations and job experiences.

 

Article 11. Reproduce of information on the system
01. It shall be permissible to reproduce the information listed on the system to other systems such as our other job posting websites or job posting websites operated by third parties such as corporations and/or organizations and/or bodies so as to expand the possibilities of job hunting results at the present and beyond.

  1. Reproduction of such job postings defined in the said provision shall be applied in each paragraph
    1. It shall be explicitly specified that the information is originated from the system.
    2. The contents of the job postings created and listed on the system shall not be modified.
    3. Job application information shall be accumulated on the control page of clients as same as such job application is made at the system.

Consignment and Affiliate

It shall also be permissible to perform the services and/or expand our business at the present or in the future, we shall consign and/or affiliate with third parties such as corporations, organizations, bodies. We shall assign the rights and obligations of the operation of the site to third parties such as corporations, organizations, and/or bodies which we decide for outsourcing and/or affilitation.

Confidentiality

  1. You consent and agree that Finding jobs may access, disclose, or preserve information associated with your use of the services, including (without limitation) your information and content, or information that Finding jobs acquires about your company through your use of the services when Finding jobs forms a good faith belief that doing so is necessary as below conditions.
  2. Information is already public knowledge when it is disclosed to us.
  3. Information has been a public knowledge without our failure to preserve the information after it is disclosed.
  4. Information obtained without disclosure.
  5. Information disclosed appropriately with applicable laws and regulations by a third party.
  6. We shall return confidential information immediately upon request from clients or dispose such information in a condition which unable anyone to comprehend upon completion of contract.

Personal information of job applicants clients obtain using our system

  1. Clients shall not disclose or provide personal information of job applicants obtained using our system without our permission to any third party and shall not use such information in any other use other than employment.
  2. If any claims are made against the company due to the reason a client breaches preceding provision hereof, the client will be liable to solve the matter at their expenses and responsibilities.  In addition, clients will be liable for all damages, claims, losses, expenses and/or reasonable attorney’s fees that the company incurs to defend against such claims.   

Information disclosure to agents/representatives

It is understood and agreed by both parties if clients use our system through agents/representatives, “average employment costs””number of job applicants””number of people hired”, “number of job offers cancelled””number of job listings” are to be provided to agents/representatives. 

Services suspensions

  1. We shall reserve the right to suspend or cancel either all or portion of services or change its policies without prior notice. The company will not be held liable for damages and losses resulting from suspension or cancellation of services or change of its policies unless otherwise mistakes are on our side.
    1. Regular or emergency maintenance of the system,
    2. Fire or outages cause services suspensions.
    3. Natural disasters cause services suspensions.
    4. Equipments and facilities suffer damages, troubles, and disruptions that unable Finding jobs to provide services to clients.
    5. Service suspensions that are not the company’s fault.
    6. If a client’s employment ratio remains below the minimum employment ratio of our standard for a certain period of time despite the fact that the company or the client try to improve the job opening postings
    7. If a claims is made or will be made against a client on the basis of hiring methods or selection methods for employment. 
    8. Anytime we deem it is necessary to suspend or cancel services temporary.

 

Contract period

  1. Contract made between the company and client (hereinafter referred to“contract”) is effective for one year (1) from the date the company provided login ID and password to a client.  It will automatically extend for another one (1) year unless either the company or the client clearly expresses that the party intends to discontinue the contract three (3) days before its expiration.
  2. Notwithstanding the foregoing, either the company or the client may terminate all or portions of the contract upon three (3) days’ written notice to the other party. The termination will be in effect three (3) days after the company receives such notice. 

Termination of Agreement

In case clients breach or default on any of the foregoing provisions, the company shall have the right to terminate all or portions of this agreement without notice.

  1. In case clients breach or default any provisions of this agreement.
  2. If any claim is made or will probably be made against job opening postings which do not conform to the actual tasks and jobs.
  3. If the company asks the client for information but the client does not provide reasonable answers in an appropriate manner.
  4. If either a client or any third party files for bankruptcy or a civil rehabilitation proceeding or Special Liquidation proceedings or Corporation reorganization proceedings, or client in fact goes bankrupt, or the company determines that the client most likely will go bankrupt. 

Effect after Termination

Termination of this Agreement due to any cases such as lapse of contract period, cancellation, or discharge shall not release client’s payment obligation for service fee for job postings on the system arising prior to such termination. 
 

Other prohibited activities

  1. All contents of the services are Finding Jobs, all rights reserved.  We own the title, copyrights and other intellectual property rights of the services and its contents. You shall not infringe our rights hereunder. You shall not circumvent or bypass any technological protection measures in or relating to the system or services or disassemble, decompile, or reverse engineer any software or other aspect of the services 
  2. We may create job opening posting on behalf of our clients by separate consignment contracts with such clients. We shall own all copyrights of its contents such as photographs and writings made and used on such consignment contract and they will be used only on the system.
  3. Clients shall not perform similar or same business activities using our business knowledge and/or technology of employment website. Clients shall not be permitted to provide information available on the system either free or paid.
  4. Clients shall not assign this Agreement nor any part thereof nor a rights or obligations hereunder without prior consent of the company.

Act on Elimination of Organized Crime Group Members

01. Clients shall pledge that client himself/herself, or its directors or its employees are in fact not a member of an organized crime group (gang, a gangster, gang related corporation/organization or related to thereof, or anti-social forces. 

 

02. The company shall discontinue its services to a client immediately without notice once it is made apparent that a client violates any of the following provisions

(1). If a client commits himself/herself or a third party a violent act or threatens or frauds, Obstruction of Business against the company

(2). It is made apparent that client himself/herself or its directors or employees are members of an organized crime group.

(3). A client refuses to cooperate for investigation or submit documents proving that they are not in fact a member of an organized crime group when the company demands.

03. Service to a client is discontinued due to the violation of the preceding provisions, or a client himself/herself or its directors or its employees are in fact a member of organized crime group, the client must not make any claim for damages.

 

Act on the Protection of Personal Information

Regarding personal information that the company obtained, if you would like a notice or disclosure for the purpose of use, modification or addition or removal of the content, discontinue of use, or deletion or discontinue to provide such information to a third party (hereinafter referred to “disclosure”), please read the following.

Penalty or damages

01. If a client breaches and defaults this Agreement or engages in dishonest acts or illegal activities and the company suffers damages, the clients will be liable for the damages and penalties (including attorney’s fee).

 

  1. If clients hide a fact that they hire job applicants from the system but intentionally conceal the facts (hereinafter referred to “concealing”), the clients will be held liable for compensation for damages in addition to penalty stated in the preceding provision. The amount of penalty shall be 50% of original service fee (if the amount is less than 100 million yen, it shall be 100 million yen)
  2. If clients verify of hiring a job applicant in error, and the company has already paid employment reward to the said applicant, the clients will be liable to pay the amount equal to employment reward paid to the said applicant.  The clients will be responsible to contact and request the said job applicant for return of such employment reward. 

Entire Agreement

This AGREEMENT, constitutes the entire and only agreement between the parties hereto with respect to the subject matter hereof, and supersedes, cancels and annuls all prior or contemporaneous negotiations or communications.

Applicable laws

This Agreement shall be governed by, and construed in validity, interpretation and enforcement subject to the laws of Japan.
 

Jurisdiction by agreement

Any dispute or controversy arising out of this Agreement shall, unless amicably resolved by the parties hereto within a reasonable time, the appointing authority shall be Tokyo District Court as an exclusive agreement jurisdictional court for the first instance [U7]

Change of Agreement

The company may change provisions herein with clients’ confirmation at any time, and it will apply between the parties hereof. However, the notice of change may be made one month prior and is communicated by email and the management page at the system.  The company regards that clients have confirmed the change by the notice.  The rights and obligations arising from the current provisions will not be affected by new provisions.

Contents of the service

0.1Welcome to Tokyo Consulting Firm Private Limited (“Finding jobs”) provides website services to you when you visit at Findingjobs.biz. 

0.2 All individuals who visit Finding jobs and use its services are deemed as Users (“users”). Our Terms of Use are deemed to have been accepted by users each time that users use or access the Finding jobs site or Finding jobs Services.  If you do not accept the Terms stated here, do not use the Finding jobs Site and the Finding jobs Services.

Finding jobs provides its services subject to the following conditions.  By using our services, users agree to these conditions. Please read them carefully.

 

We offer a wide range of employment services and related services, and sometimes additional terms may apply. When you use a Finding jobs Service (for example, when you search jobs at Findingjobs.com), you also will be subject to the guidelines, terms and agreements applicable to that Finding jobs Terms of Use ("Terms of Use ").

 

These Terms constitute a binding agreement between Users and Finding jobs Ltd. or the Finding jobs company operating the Web site for the country in which You live or in which business is headquartered (“Finding Jobs”), and are deemed accepted by users each time that You use or access Finding jobs or Finding jobs Services. If users do not accept the Terms stated here, do not use the Finding jobs Sites and the Finding jobs Services.

 

Changes of Services

Finding jobs may change its contents or temporarily suspend the service itself without prior notice,

Users shall not make any objections.

Prohibited activities, compensation for damages

If a user breaches these Terms of Use and causes damage to Finding jobs and/or the third party, the user shall be liable for the damages caused to Finding jobs and/or third parties and compensate for the said damages caused.

Finding Jobs shall seek legal remedies against those users who violated our Terms of Use.

 (If a user reports the incident to Finding jobs, the user shall not be held liable).

 

Changing / deleting information

When Finding jobs has to change or delete registered information due to the said prohibited activities,

Finding jobs reserves the right to change/delete the said information in sole discretion.

Deadline for application of employment reward

Deadline for applying for the employment reward shall be 90 days from the date the user applies at Finding Jobs site.  If the user does not claim for the said employment reward within the period, Finding jobs deems that the user has no intention to receive such reward.  Application for employment reward after the 90 days period is void.

01. Finding jobs do not guarantee that the information contained for employment are correct (for example technical errors or typos or that the information is not accurately described as what is intended).

02. Finding jobs is not responsible for any damages derived from the services from Finding jobs or any other related services or services from a third party for having the services suspended or halted or changed.

Change of Terms of Use

Finding jobs shall reserve the right to amend these “terms of use” at anytime without prior consent from users.

The changes of services will be noticed on the site and we shall consider all users of the site accept the changes.
